Terms of Service

These Terms of Service ("Terms") govern your use of SubincLabs' software development and consulting services (the "Services"). By engaging with SubincLabs for development work, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not engage our development services.

Development Services

SubincLabs provides professional software development services including:

  • Custom software development and application building
  • Full-stack web and mobile application development
  • System architecture design and consulting
  • API development and third-party integrations
  • Code review, optimization, and technical consulting
  • Maintenance and ongoing development support

Project Engagement and Scope

All development projects begin with a detailed scope of work that outlines deliverables, timelines, and technical requirements. Changes to the agreed scope may result in additional time and cost adjustments.

We work on a collaborative basis with clients to ensure project success. Client cooperation and timely feedback are essential for meeting project deadlines and delivering quality results.

SubincLabs reserves the right to refuse or terminate engagements that violate our professional standards or involve illegal activities.

Payment and Billing

Payment terms are established in individual project agreements. Typical arrangements include:

  • Milestone-based payments for larger projects
  • Hourly billing for consulting and ongoing development
  • Fixed-fee arrangements for well-defined scopes

Invoices are due within 30 days of receipt unless otherwise specified. Late payments may incur additional fees.

Intellectual Property Rights

Client-Owned Work: All custom code, designs, and deliverables created specifically for your project become your intellectual property upon full payment.

Pre-Existing IP: SubincLabs retains ownership of any pre-existing intellectual property, tools, frameworks, or methodologies used in your project.

Open Source: Any open source components used in your project remain subject to their respective licenses.

Portfolio Rights: SubincLabs may use project work in portfolios and marketing materials unless explicitly restricted by client agreement.

Confidentiality and Non-Disclosure

SubincLabs maintains strict confidentiality regarding all client information, business processes, and proprietary data encountered during development projects.

For projects involving sensitive information, separate non-disclosure agreements (NDAs) may be executed to provide additional legal protections.

We implement industry-standard security practices to protect client data and source code during development and storage.

Warranties and Disclaimers

Quality Assurance: We provide professional-quality development services and stand behind our work. Bug fixes and issues related to our code are addressed at no additional cost for a reasonable period post-delivery.

Third-Party Dependencies: We cannot warrant the performance or reliability of third-party services, APIs, or platforms integrated into your project.

Limitation of Liability: SubincLabs' liability is limited to the total amount paid for the specific project or service. We are not liable for consequential damages, lost profits, or business interruption.

Communication and Ongoing Support

Regular communication is essential for successful projects. We provide progress updates, conduct review meetings, and maintain open channels for feedback and questions.

Post-launch support terms are defined in individual project agreements and may include bug fixes, minor modifications, or ongoing maintenance arrangements.

Project Termination

Either party may terminate a project engagement with written notice. In case of termination:

  • Client pays for all completed work and expenses incurred
  • All deliverables completed to date are provided to client
  • Confidentiality obligations remain in effect
  • Both parties work cooperatively to ensure smooth transition

Governing Law and Disputes

These Terms are governed by the laws of Delaware, United States. Any disputes will be resolved through good-faith negotiation, mediation, or binding arbitration as appropriate.

We believe in collaborative problem-solving and work to address any concerns promptly and professionally.

Changes to These Terms

We may update these Terms periodically to reflect changes in our services or legal requirements. Significant changes will be communicated to active clients. Continued engagement constitutes acceptance of updated Terms.
